【摘要】國有企業(yè)改革是我國向市場(chǎng)經(jīng)濟(jì)轉(zhuǎn)軌過程中十分重要而尚未解決的問題之一, 它的困難制約了我國整個(gè)經(jīng)濟(jì)的健康發(fā)展和良性循環(huán)。所以，改善國有企業(yè)的經(jīng)營績效對(duì)我國經(jīng)濟(jì)持續(xù)增長至關(guān)重要。在我國國有企業(yè)近年來的改革中，大量的國有企業(yè)合并重組。其中,外資并購在占有很重要的部分。
本文共分為三個(gè)部分。首先對(duì)國有企業(yè)改革外資并購的現(xiàn)狀進(jìn)行描述，既而分析了外資企業(yè)對(duì)目標(biāo)企業(yè)的選擇以及資金的融通問題，最后提出改善外資并購的一些建議。

【Abstract】The innovation of stateowned enterprise which is one of the most important things to shunt market economy have not solved yet. Its difficulties restrict the healthy development and benign circle of the whole economic of our country. So the improvement of stateowned enterprise is vital to increase our economy. So many stateowned enterprises are using M&A during the innovation of stateowned enterprise these years. And M&A by foreign capital is possessed an important part of it.
The paper is divided into three sections. The first section says the actuality of M&A by foreign capital. The second section says the way to collect capital. And the last section shows some useful suggestions for changing this status.
