上市公司關(guān)聯(lián)交易分析與研究

【摘要】
近年來，隨著我國(guó)的國(guó)有企業(yè)改革步伐進(jìn)一步加快，在我國(guó)上市公司中發(fā)生的關(guān)聯(lián)交易也越來越多，且交易中或多或少都存在著一定的問題，有的是利用關(guān)聯(lián)交易來粉飾業(yè)績(jī)，有的是利用關(guān)聯(lián)交易來轉(zhuǎn)移資產(chǎn)，有的是利用關(guān)聯(lián)交易來轉(zhuǎn)嫁費(fèi)用……總之，這些行為都對(duì)資本市場(chǎng)的正常秩序產(chǎn)生了不好的影響，而沒有正確充分發(fā)揮關(guān)聯(lián)交易的優(yōu)勢(shì)來降低機(jī)會(huì)成本，提高資金營(yíng)運(yùn)效率。本文就將針對(duì)這些問題對(duì)關(guān)聯(lián)方的定義、關(guān)聯(lián)交易的定義與特點(diǎn)、產(chǎn)生關(guān)聯(lián)交易的情況、上市公司利用關(guān)聯(lián)交易的主要目的——“操縱利潤(rùn)”的方法等幾個(gè)方面進(jìn)行討論。并重點(diǎn)分析了上市公司利用關(guān)聯(lián)交易的主要目的——“操縱利潤(rùn)”的本質(zhì)及關(guān)聯(lián)交易對(duì)社會(huì)經(jīng)濟(jì)的影響。

In recent years, reform the step along with the state-owned business enterprise of the our country further speed, the connection bargain take place in our country listed company is also more and more, and trade in or many or little all exist the certain problem, have plenty of the exploitation connection bargain to cover up the accomplishment, have plenty of the exploitation connection bargain to transfer the property, have plenty of the exploitation connection bargain to pass on the expenses ……In fine, these behaviors all produced to the normal order of the capital market not good influence, but have no right full exertive the advantage that connection trade to lower the opportunity cost, exaltation funds operation efficiency. This text will aim at these problems to make use of the main purpose of the connection bargain to the circumstance, listed company that the definition and characteristics, the creation connections that the connection square's definition, connection trade trade-the method of" manipulate the profits" etc. severals carry on the discussion. Laid equal stress on to order to analyze the listed company to make use of the main purpose of the connection bargain- the essence and the influence of the connection bargain upon the society economy of" manipulate the profits".
