西方典型公司治理模式對(duì)國(guó)企治理的啟示

【摘要】本文通過(guò)對(duì)西方兩種典型公司治理模式———美國(guó)模式、德國(guó)模式的分析比較,結(jié)合中國(guó)國(guó)情與國(guó)有企業(yè)現(xiàn)有公司治理模式存在的問(wèn)題,提出一種新型公司治理模式。在這種模式中,銀行成為外部治理的基礎(chǔ);內(nèi)部治理采用共同治理模式,確保相關(guān)利益者和股東擁有平等的機(jī)會(huì)進(jìn)入董事會(huì)和監(jiān)事會(huì),參與公司治理。新型公司治理模式吸收了西方兩種典型模式的優(yōu)點(diǎn),比較接近于德國(guó)模式,更適合中國(guó)目前國(guó)企治理的實(shí)際需要。This article offers a new type of mode for the company governing by comparing and analyzing two typical examples mode which sets by American champagne governing and Germany champagne governing ,combining the current conditions of our country with the problems which turn up in current governing of company in china .In this mode , the bank will be the foundation of the external governing,the mode operated on the internal governing is to adapt the management together. All of these are to make sure that there offers an equal chance to the benefits pursuers’ and shareholders’ entering to the board of directors and supervise control commission to participate in the company governing .This new type company governing mode absorbs all the advantages in the two famous types , which operated on in America and Germany ,gets much closer to the German mode .Most important, it well-satisfies and fits for the current actuality need of Chinese company reforming institution.
