摘要：本文通過(guò)典型案例來(lái)研究我國(guó)上市公司資本結(jié)構(gòu)特點(diǎn)形成的原因，以及政策環(huán)境和管理動(dòng)機(jī)對(duì)融資行為的影響，提出具體的優(yōu)化措施，對(duì)于促進(jìn)上市公司健康發(fā)展、推動(dòng)國(guó)企股份制改造均具有重要的現(xiàn)實(shí)意義和理論價(jià)值。

Abstract：This article is based on the above backdrop, study the characteristic and the forming reasons of the structures of the Chinese corporations which have come into the market, as well as the effect of policy environment and management motivation through representative cases, then give some concretely optimized methods. These are very important and have theory values to advance the corporations’ development healthier and promote Chinese corporation’ reformation.
