內(nèi)容摘要：商事登記的法律效力作為商事登記法律制度的一項(xiàng)核心內(nèi)容，對(duì)此進(jìn)行研究具有重大意義。但我國(guó)學(xué)者少有人對(duì)此進(jìn)行認(rèn)真的探討。本人在此對(duì)商事登記的法律效力作出了比較深入的探討，分別從商事登記的法律效力、商事登記對(duì)于不同商事主體的法律效力、不實(shí)登記的法律效力和特殊登記的法律效力，這幾方面對(duì)商事登記的法律效力進(jìn)行探討。希望可以讓商事主體清楚登記的效力如何，讓他們明白商事登記在“保護(hù)社會(huì)交易安全，維護(hù)公眾利益”和“保障商事主體權(quán)益”等方面具有重大的意義。

Abstract：The legal force of commercial registration, is one of the core contents in the legal system.Making a research on it holds important significance . But scholars have seldom investigated on it in China . The author has made a in-depth study on it ,from four aspects as followings: the legal force of commercial registration , the legal force of commercial registration for different subjects , the legal force of false registration and the legal force of special registration . It is hoped that the commercial subjects can understand the full knowledge of registration force and the important significance of commercial registration on the “ protect the safty of trade fair , maintain the public benefits” and “defend commercial subjects’ rights and benefits”.
