摘要
隨著近些年我國(guó)經(jīng)濟(jì)的快速發(fā)展，以及世界上各種公司治理理論的不斷更迭完善。建立健全的公司內(nèi)部治理制度已被各個(gè)國(guó)家及公司所高度重視，大家都認(rèn)識(shí)到良好的公司內(nèi)部治理不僅是保證現(xiàn)代市場(chǎng)體系高效有序運(yùn)行的微觀基礎(chǔ)同時(shí)也是增強(qiáng)企業(yè)競(jìng)爭(zhēng)力和提高企業(yè)經(jīng)營(yíng)業(yè)績(jī)的必要條件。如何提高公司內(nèi)部治理效率，保護(hù)中小股東的權(quán)益已成為各國(guó)政府和企業(yè)面臨的一個(gè)共同問題。
中小股東是市場(chǎng)經(jīng)濟(jì)中不可或缺的一部分，保護(hù)其有效權(quán)益不被侵害是維護(hù)經(jīng)濟(jì)市場(chǎng)穩(wěn)定以及社會(huì)穩(wěn)定的必要措施。然而我國(guó)的股票市場(chǎng)存在嚴(yán)重的大股東控股現(xiàn)象。中小股東持股比例低，經(jīng)濟(jì)法律知識(shí)薄弱，再加上其集中度較低，市場(chǎng)對(duì)中小股東的保護(hù)制度不夠完善等阻礙因素，往往導(dǎo)致其合法權(quán)益被隨意侵害。

ABSTRACT
With the rapid development of China's economy ,and the constant changes on a variety sound of corporate governance theory in the world recent years, establish a sound of corporate governance system has been importance to by many countries and company. We recognize that good corporate governance is not only to ensure that the micro-foundations of modern market system efficient and orderly operation but also the necessary condition of enhancing the competitiveness of enterprises and improve business performance . How to improve the efficiency of corporate governance, the protection of minority shareholders' rights has become a common problem faced by governments and businesses.
Minority shareholders are an integral part of the market economy.
Protecting their rights and interests are the necessary measures to maintain market stability and economic and social stability. However, there is a serious the major shareholder of the holding phenomenon
on country's stock market, low proportion of minority shareholders, the weak legal and economy knowledge, and the low concentration of Minority shareholders, and the market protection for minority shareholders and other impediments system is not perfect, always leads to their legitimate rights and interests are infringed random
